Three Essays on Empirical Corporate Governance

This thesis contains three essays that each studies a different aspect of corporate governance in the US. The first essay (Chapter 2) studies the CEO's compensation contract, the second essay (Chapter 3) studies creditor monitoring and corporate disclosure, and the final essay (Chapter 4) studies shareholder litigation rights and board monitoring. Overall, this thesis provides new evidence on how suppliers of finance to firms can ensure a return on their investment and contributes to the debate on the effectiveness of modern corporate governance mechanisms.
